Terms of Service

These Terms of Service (“Terms”) govern your use of InteScene, a production management platform operated by InteScene Ltd, a company registered in England and Wales. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Definitions
- “Service” means the InteScene web application accessible at intescene.app, including all features, tools, and content provided through it.
- “User”, “you”, “your” means any individual who creates an account or uses the Service.
- “Content” means any scripts, breakdowns, schedules, budgets, storyboards, images, documents, or other material you create, upload, or store using the Service.
- “We”, “us”, “our” means InteScene Ltd.
- “Subscription” means a paid plan purchased through the Service.
2. Account Registration
- You must be at least 16 years old to use the Service.
- When you create an account you confirm that you meet this age requirement and that you accept these Terms and our Privacy Policy; the time of your acceptance is recorded.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately at support@intescene.com if you become aware of any unauthorised access to your account.
- Accounts are personal to you and may not be transferred to another person.
3. Subscriptions and Payments
- A free tier is available with limited features.
- Paid Subscriptions are billed monthly or annually and processed securely by Stripe.
- Prices are displayed at the point of purchase and may be changed with at least 30 days’ notice.
- Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
- Refunds are provided at our discretion. We do not offer automatic pro-rata refunds for unused time.
4. User Content and Intellectual Property
You retain full ownership of all Content you create or upload to the Service. We claim no intellectual property rights over your Content. You are solely responsible for ensuring that your Content does not infringe the intellectual property rights or other rights of any third party.
5. Licence Grant to InteScene
By using the Service, you grant InteScene a limited, non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, and transmit your Content solely for the purpose of operating and providing the Service to you. This licence exists only so that we can deliver the Service; we will not sell, distribute, or use your Content for any other purpose.
This licence terminates when you delete your Content or close your account, subject to any reasonable backup or retention period as described in our Privacy Policy.
Personal data you enter about others. Content you add to a project may include personal data about other people, for example cast, crew, drivers, and suppliers. For that data, you (or the production company you work for) are the data controller and InteScene Ltd acts as your processor. Our Data Processing Addendum forms part of these Terms and governs that processing, including the list of subprocessors we use, published at intescene.app/subprocessors.html. You are responsible for having a lawful basis to share that data with us (and, where required, for informing the individuals concerned).
6. AI Features
- The Service includes optional AI-powered features that use the Google Gemini API and OpenAI API.
- AI features are provided as creative aids and are offered “as is” without warranties of accuracy, completeness, or fitness for any particular purpose.
- When you use AI features, your Content (including scripts, breakdowns, prompts, and reference images) may be sent to Google and OpenAI (and, for read-through audio, script dialogue to ElevenLabs) for processing. Under our API terms with these providers, your Content is not used to train their AI models; providers may retain transient copies briefly for abuse monitoring before deletion.
- You are responsible for reviewing all AI-generated content before using it in any production or public-facing material.
- Use of AI features is subject to our AI Prohibited Use Policy.
- AI features are also subject to Google’s Generative AI Terms of Service and OpenAI’s Terms of Use.
7. Acceptable Use
You agree not to:
- Violate any applicable law or regulation.
- Infringe on the intellectual property rights or other rights of any third party.
- Upload malicious code, viruses, or any content designed to harm the Service or its users.
- Attempt to gain unauthorised access to other user accounts, projects, or our systems.
- Use the Service for any illegal or fraudulent purpose.
- Interfere with or disrupt the Service, its servers, or its infrastructure.
- Scrape, crawl, or access the Service by automated means without our written permission.
- Resell, sublicence, or redistribute the Service without our written consent.
8. Availability and Support
- We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free access.
- We may perform scheduled maintenance, which will be communicated in advance where reasonably possible.
- Support is available via support@intescene.com.
- We do not guarantee specific response times, though we endeavour to respond promptly.
9. Limitation of Liability
- To the maximum extent permitted by law, InteScene Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- Our total aggregate liability for any claims arising from or related to these Terms or your use of the Service shall not exceed the total amount you have paid to us in the 12 months immediately preceding the event giving rise to the claim.
- Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by the laws of England and Wales.
10. Indemnification
You agree to indemnify, defend, and hold harmless InteScene Ltd and its officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
11. Termination
- You may close your account at any time through your account settings or by contacting support@intescene.com.
- We may suspend or terminate your account if you violate these Terms, with notice where reasonably practicable.
- Upon termination, your right to access and use the Service ceases immediately.
- We will retain your data for 30 days after account closure to allow you to request a data export, after which it will be permanently deleted.
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4, 5, 9, 10, and 12.
12. Governing Law and Disputes
- These Terms are governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- Nothing in these Terms affects your statutory rights as a consumer under the laws of the United Kingdom.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with any changes, you should stop using the Service and close your account.
14. Entire Agreement
These Terms, together with our Privacy Policy, AI Prohibited Use Policy, and Data Processing Addendum, constitute the entire agreement between you and InteScene Ltd regarding your use of the Service. If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
